Terms of Service

These Terms of Service ("Terms") govern your access to and use of InstantDesk.co (the "Site") and the InstantDesk AI voice receptionist service (the "Service"), operated by 80 Degrees West LLC, a North Carolina limited liability company ("InstantDesk," "we," "us," or "our"). By signing up for or using the Service, you agree to these Terms.

1. The Service

InstantDesk provides an AI-powered voice receptionist that answers calls, qualifies leads, books appointments, and sends call summaries on behalf of subscribing businesses ("Client," "you"). The Service is currently offered at beta stage: we are actively testing and refining it with a limited number of businesses, and functionality, pricing, and availability may change as we improve the product.

InstantDesk is built on third-party voice AI infrastructure and related speech and language technology providers. We configure and manage this infrastructure on your behalf. We do not independently develop the underlying AI models.

2. Eligibility and Account Registration

You must be at least 18 years old and authorized to bind the business you are signing up on behalf of. You agree to provide accurate, current information during signup and onboarding, and to keep your account information up to date.

3. Subscription, Billing, and Free Trial

  • Subscription plans and pricing are as communicated to you at signup and are subject to change with notice.
  • Free trial: new Clients may receive a free trial. No payment method is required to start the trial. If you do not add a payment method before the trial ends, the trial ends and you are not charged.
  • Payments are processed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis for your selected plan.
  • Subscriptions renew automatically until canceled. You may cancel at any time through your billing portal or by contacting hello@instantdesk.co. Cancellation takes effect at the end of the current billing period unless otherwise stated.
  • Fees are non-refundable except as required by law or as we may agree to in our discretion.

4. Client Responsibilities

You agree to:

  • Use the Service only for lawful business purposes
  • Provide accurate business information (services, hours, pricing, policies) for your AI agent to relay to callers
  • Comply with all applicable laws regarding call recording and consent in the jurisdictions where your customers are located, if you enable call recording
  • Not use the Service to harass, defraud, or mislead callers, or to collect information unlawfully
  • Not attempt to reverse-engineer, resell, or white-label the Service without our written consent

5. AI Limitations and No Guarantee of Outcomes

You acknowledge that:

  • The Service uses artificial intelligence, which may occasionally misunderstand a caller, provide an inaccurate response, or fail to complete a requested action correctly.
  • InstantDesk is a tool to assist with call handling and lead qualification. It is not a guarantee of any particular business outcome (for example, number of leads, appointments booked, or revenue).
  • As a beta-stage product, features, accuracy, and uptime are still being refined and are provided on an evolving basis.

6. Call Recording

Where you enable call recording for your agent, you are responsible for complying with applicable state and federal call-recording consent laws, including obtaining any required consent from callers before or at the start of a recorded call. InstantDesk provides the technical capability and configuration options. You control whether recording is enabled and are responsible for its lawful use.

7. Intellectual Property

InstantDesk retains all rights, title, and interest in the Service, the Site, and our underlying technology, templates, and configurations. You retain ownership of your business information and content you provide to us. You grant us a license to use that information solely to provide the Service to you.

8. Third-Party Services

The Service relies on and may integrate with third-party providers (including but not limited to ElevenLabs, PlayHT, Stripe, Google Calendar, GoHighLevel, and Meta). We are not responsible for outages, errors, or changes in those third-party services, though we will make reasonable efforts to notify you of and mitigate any resulting service impact.

9. Term and Termination

  • You may cancel your subscription at any time as described in Section 3.
  • We may suspend or terminate your access to the Service if you violate these Terms, fail to pay applicable fees, or if we discontinue the Service or a beta program, with reasonable notice where practicable.
  • Upon termination, we will handle your data as described in our Privacy Policy.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI RESPONSES WILL ALWAYS BE ACCURATE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, 80 DEGREES WEST LLC AND ITS OFFICERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE ONE (1) MONTH PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless 80 Degrees West LLC from any claims, damages, or expenses arising from your misuse of the Service, your violation of these Terms, or your violation of applicable law (including call-recording consent laws).

13. Governing Law and Disputes

These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated to active Clients by email, and continued use of the Service after changes take effect constitutes acceptance.
